GRIZZLY MINING LTD, GRIZZLY COPPER MINES LTD & PRIDEGEMS MINES LTD PUBLIC NOTICE INVITATION TO LOCAL AND INTERNATIONAL SUPPLIERS EXPRESSION OF INTEREST — REGISTRATION AND ONBOARDING Issued pursuant to: The Geological and Minerals Development (Local Content) (Preference for Goods and Services in the Mining Sector) Regulations, 2025 (Statutory Instrument No. 68 of 2025) Grizzly Mining Limited, Grizzly Copper Mines Limited, and Pridegerms Mines Limited (“Grizzly” or the “Company”) hereby invite qualified local and international suppliers, contractors and consultants to submit an Expression of Interest (“EOI”) for registration and onboarding onto the Company’s approved supplier database. This exercise gives effect to the Company’s obligations under the Geological and Minerals Development (Local Content) (Preference for Goods and Services in the Mining Sector) Regulations, 2025 (S.I. No. 68 of 2025) and supports the implementation of the Company’s Supplier Development Programme. ABOUT THIS INVITATION The Regulations require Grizzly to: reserve a progressively increasing portion of its annual procurement budget for local companies in the supply of core mining goods and services — from 20% in the first year to not less than 40% within five years (Regulation 4); apply a 15% margin of preference in the evaluation of bids from local companies for core mining goods and services (Regulation 5); procure certain non-core mining goods and services that are critical to operations EXCLUSIVELY from local companies (Regulation 6); and implement a Supplier Development Programme to enhance the capacity of local suppliers to participate in the mining value chain (Regulation 7). To give effect to these obligations, Grizzly is building an up-to-date, verified and inclusive register of suppliers. All existing suppliers are required to re-register, and all new suppliers are invited to apply. WHO CAN APPLY A. Local Suppliers (Priority Category) Applications are particularly encouraged from: • citizen owned companies within the meaning of the Citizen Economic Empowerment Act; • citizen empowered companies within the meaning of the Citizen Economic Empowerment Act (with majority Zambian citizen shareholding); • women-owned enterprises; • youth-owned enterprises (majority shareholding by persons under 35 years); • enterprises owned by persons with disabilities; • micro, small and medium enterprises (MSMEs); and • enterprises located within the host community of the Company’s mining operations. B. International Suppliers and Original Equipment Manufacturers Applications are also invited from: • foreign companies registered to undertake business in Zambia; • original equipment manufacturers (OEMs) within the meaning of the Regulations; • international suppliers willing to partner with, mentor or subcontract to Zambian local companies in line with the Company’s Supplier Development Programme. International suppliers should note that awards of contracts for core mining goods and services shall be subject to the 15% margin of preference applied in favour of local companies, and that certain non-core mining goods and services are reserved exclusively for local companies. CATEGORIES OF GOODS AND SERVICES Applicants may register in one or more of the categories listed in the First and Second Schedules to the Regulations, including: Core Mining Goods (First Schedule, Part A) Including, but not limited to: safety equipment; mining equipment and machinery spare parts; HDPE pipes; mild steel and high tensile nuts and bolts; carbon brushes; electrical switch boxes; fuels, oils and lubricants; cement, coal, lime; rock drills, drill bits and drill steels; pump impellers and housings; low and medium voltage transformers and electric cables; copper rod, shapes and bus bars; centrifugal pumps; conveyor belt idlers; railway turnouts and accessories; iron and steel intermediate products; low- and high-tension ceramic insulators; mill liners; crusher and feeder wear plates; forged roof bolts and nuts; ferrosilicon; activated carbon; ammonia and ammonium nitrate explosives; soda ash; sodium silicate; caustic soda; sodium hydrosulphide; sulphuric, hydrochloric and nitric acid; refractory bricks and mortar; underground flat cars; vehicles for moving explosives; jack hammers; drive shafts, gears, bearings and valves. Core Mining Services (First Schedule, Part B) Including: after-sales services; metal fabrication; bulk transportation; medical services; drilling and blasting; mine development; shaft sinking; wastewater treatment and disposal; dewatering; electricity; engineering services; geological and geotechnical services; and consultancies in core mining goods and services. Non-Core Mining Goods (Second Schedule, Part A) Including: labour; furniture; iron and steel products; uniforms and safety wear; food and catering supplies; medicines; stationery; business cards; cleaning materials and toiletries; office and catering equipment; gardening. Non-Core Mining Services (Second Schedule, Part B) Including: security and patrol services; catering services; transportation of personnel; accommodation and camp management; haulage of ores, concentrates and refined metals; haulage of fuel, consumables and personnel; municipal waste management; minor maintenance (electrical fittings); freight forwarding, logistics, warehousing and storage; cleaning and laundry; medical services; painting, disinfection and fumigation; plumbing and sanitary services; physical training, gym and swimming; local health education; minor maintenance; excavation; supply base and warehouse services; bulk transportation; safety, protection and firefighting systems; information systems, IT and communication; legal and financial services; labour hire (specialised and non-specialised); capacity building and training; consultancies in non-core goods and services; and corporate social responsibility consultancies. Certain non-co goods and services that are critical to the operation of the Company’s mining activities are reserved EXCLUSIVELY for local companies, in accordance with Regulation 6 of S.I. 68 of 2025. HOW TO APPLY Step 1 — Obtain the Registration Pack The Registration Pack comprises: • the Supplier Know-Your-Counterparty (KYC) Form; • the list of documents to be submitted in support of the application; and • a copy of the Company’s Supplier Code of Conduct. The Registration Pack may be obtained free of charge: • by download from the Company’s website; • by email request to procurement@grizzly.co.zm. Step 2 — Complete the KYC Form Applicants shall complete the Supplier KYC Form in full, ensuring that all information is true, accurate and complete. The KYC Form captures the information required by the Company under the Regulations and applicable Zambian law, including beneficial ownership, statutory compliance, capacity and category of goods or services offered. Step 3 — Assemble Supporting Documents The following supporting documents shall be submitted together with the completed KYC Form: • Certificate of Incorporation or Registration (PACRA or equivalent foreign registry); • most recent PACRA Company Particulars (Zambian applicants); • current Tax Clearance Certificate (from the Zambia Revenue Authority or home jurisdiction equivalent); • proof of NAPSA compliance and Workers’ Compensation (Zambian applicants); • copies of all sector-specific licences and permits; • beneficial ownership declaration in accordance with the Companies Act, 2017; • audited or management financial statements for the most recent two (2) financial year; • profile of directors, key personnel and technical qualifications; • company profile and track record of similar contracts; • Health, Safety and Environmental policy and statistics; • certified copies of national registration cards or passports of directors and ultimate beneficial owners; • evidence of physical office premises (lease or title deed, photographs, utility bill); • banking details (bank confirmation letter). Step 4 — Submit the Application Applications shall be submitted: • by email to procurement@grizzly.co.zm, with the subject line “Supplier Registration — [Company Name] — [Category]”; CLOSING DATE The closing date for receipt of applications is 31st May 2026 at 17:00 hours (Central African Time). Late applications will not be considered. Registration is nevertheless a continuous process and applications received after the initial closing date shall be considered in the next registration cycle. EVALUATION AND OUTCOME All applications shall be evaluated against the criteria set out in the Regulations and the Company’s supplier management policies. The evaluation shall cover: • statutory compliance and good standing; • beneficial ownership transparency; • technical, financial and operational capacity; • Health, Safety and Environmental performance; • integrity and track record. Successful applicants shall be admitted to the Company’s approved supplier database and shall be notified in writing. Admission to the database does not, in itself, constitute a commitment to award any contract specific procurement opportunities shall be conducted through the Company’s Annual Procurement Plan and tender processes published under Regulation 7(1)(d) of S.I. 68 of 2025. IMPORTANT NOTICES 1. No Fees No fee, payment, gift or other consideration is payable to Grizzly or to any officer or employee of Grizzly in connection with this registration exercise. Any person who solicits such a payment from an applicant acts unlawfully and should be reported immediately to compliance@grizzly.co.zm or to the Anti-Corruption Commission. 2. Truthful and Complete Information Applicants shall provide true, accurate and complete information. Any misrepresentation, omission or falsification of information in the KYC Form or supporting documents shall result in: • rejection of the application; • removal from the supplier database; and • possible referral to the relevant law-enforcement authorities. 3. Data Protection Personal data submitted in the KYC Form shall be processed by Grizzly in accordance with the Data Protection Act, No. 3 of 2021. Applicants shall be provided with a copy of the Company’s Supplier Privacy Notice and shall be required to confirm their consent to the processing of their data for the purposes of supplier registration, management and monitoring. 4. Conflict of Interest and Related-Party Transactions Applicants are required to declare any conflict of interest, in particular any relationship between the applicant (including its directors, shareholders, beneficial owners or key personnel) and any officer or employee of Grizzly. An undeclared conflict of interest shall be a ground for disqualification. 5. No Commitment This invitation does not constitute an offer or a binding commitment to engage any applicant. Grizzly reserves the right to accept or reject any application, to extend, amend or discontinue the registration exercise at its discretion, and to engage suppliers in accordance with its Annual Procurement Plan and the Regulations.
